Terms of Use

1. Definitions

In these Terms, "Mathani" (also "we", "us" or "our") refers to the owner and operator of the Mathani mobile application (the "App"). "You" or "User" refers to the person or entity who downloads, installs, or uses the App on any mobile device (including iOS or Android smartphones/tablets). The "Services" means all features and functionality provided through the App. All capitalized terms not defined here have the meanings given in these Terms.

2. Acceptance of Terms

By downloading, installing, or using Mathani (via the Apple App Store, Google Play Store, or any other channel), you agree to these Terms and to comply with all applicable laws and regulations. You acknowledge that under Saudi law, electronic agreements are binding and enforceable, so these Terms constitute a legally binding contract governed by the laws of the Kingdom of Saudi Arabia.

3. License to Use the App

Subject to these Terms, Mathani grants you a revocable, non-exclusive, non-transferable, limited license to use the App on your mobile device for your personal, non-commercial purposes only. This license does not transfer any ownership rights in the App or its content to you. All rights not expressly granted to you are reserved by Mathani. In particular, you may not sell, rent, sublicense, distribute, modify, decompile, or create derivative works of the App or any component thereof. You agree that you will not remove or alter any copyright, trademark or other proprietary notices from the App or its content.

4. User Accounts and Security

Certain features of Mathani may require you to create an account (using email or a third-party authentication service such as Clerk). You agree to provide accurate and complete information and to keep your login credentials (username, password, etc.) confidential. You are solely responsible for all activities that occur under your account. The account holder shall immediately notify Mathani of any unauthorized use of the account or any other breach of security. Mathani will not be liable for any loss or damage arising from your failure to comply with these requirements.

5. Intellectual Property Rights

All intellectual property rights in the App and its content (including, without limitation, text, graphics, audio, video, software code, and design) are owned by Mathani or its licensors. These rights are protected by Saudi and international copyright, trademark, and other laws. All rights are reserved. The entire contents of the App are protected under Saudi copyright law and international conventions. You may not copy, reproduce, distribute, publicly perform, or create derivative works of any part of the App or its content except as expressly permitted by this license or by law. In particular, you may not redistribute or exploit any religious or audio content from the App for any commercial purpose; such content is provided for your personal use only and any unauthorized use is prohibited.

6. Restrictions and User Conduct

You agree to use the App lawfully and in accordance with these Terms. You shall not engage in any of the following prohibited activities:

• Using the App for any unlawful purpose or in violation of any Saudi law or regulation.

• Posting or transmitting any content that defames, harasses, threatens, or harms others.

• Distributing or displaying content that is obscene, pornographic, offensive, or contrary to Islamic Sharia or Saudi public morals.

• Uploading, distributing or sharing any content that violates privacy or intellectual property rights of any person. For example, you may not use the App to distribute copyrighted materials (including religious recordings) that you do not own or have permission to use.

• Inciting or supporting terrorism or other illegal activities.

• Attempting to hack, reverse-engineer, decompile or otherwise interfere with the App's software or security.

• Interfering with the use of the App by other users (e.g. spamming, flooding, or "phishing").

• Removing or altering any copyright or trademark notices.

• Circumventing any usage limitations or license controls built into the App.

Violations of these restrictions may lead to immediate suspension or termination of your access to the App. You are solely responsible for any content you access, post or send through the App. Mathani reserves the right (but has no obligation) to remove or refuse to post any content that, in Mathani's sole discretion, violates the law or these Terms.

7. Use of Third-Party Services

The App may integrate or provide access to third-party services and content. For example, Mathani uses Clerk for user authentication, Supabase for backend data storage, and Mixpanel and Microsoft Clarity for usage analytics. These third-party services are governed by their own terms and privacy policies, and Mathani does not control or assume liability for them. We accept no liability for any third-party service or the content they provide. Use of such services is at your own risk, and you should review the terms of those providers. Mathani does not warrant that these services will always be available or function without error.

8. Updates to the App and Terms

Mathani may update or modify the App and these Terms at any time. When we do so, we will update the "Last Updated" date above. Your continued use of the App after the changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically. If you do not agree to any changes, you must stop using the App.

9. Disclaimer of Warranties

The App is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by Saudi law, Mathani disclaims all warranties of any kind (express or implied) regarding the App and its content. Mathani does not guarantee that the App will be uninterrupted, error-free, or free of bugs. Mathani makes no warranty that the App or any information obtained through it will meet your requirements, nor any warranty against viruses or other harmful components. You use the App at your own risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Mathani (and its affiliates, officers, employees or agents) will not be liable for any damages of any kind arising out of or related to your use of the App. This includes (but is not limited to) any direct, indirect, incidental, special, consequential, or punitive damages (such as loss of data, profit, or reputation) even if Mathani has been advised of the possibility of such damages. In no event shall Mathani's total liability exceed the amount (if any) paid by you to Mathani for use of the App. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you to the extent prohibited by law.

11. Termination

Mathani may suspend or terminate your access to the App at any time and for any reason, including if you breach these Terms. Termination may be with or without notice and at Mathani's sole discretion. Upon termination, you must cease all use of the App and destroy any copies of the App in your possession. Termination will not affect any rights or obligations that accrued prior to termination. Mathani will not be liable to you or any third party for any termination of your access to the App.

12. Paid Features (Future Pricing)

Mathani is currently provided to you free of charge and does not offer any paid subscriptions or in-app purchases. However, Mathani reserves the right to introduce paid or premium features in the future. If we do so, any pricing, payment terms, and additional conditions will be posted in the App or on our website and incorporated into an updated version of these Terms. Your continued use after such notice will constitute acceptance of those terms.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or your use of the App shall be finally resolved by arbitration administered by the Saudi Center for Commercial Arbitration (SCCA), in accordance with its rules. The arbitration shall take place in Riyadh, Saudi Arabia, and the proceedings shall be conducted in the Arabic language. The arbitrator's award will be final and binding on all parties.

Each party irrevocably waives the right to a jury trial or to participate in a class action. Notwithstanding the foregoing, Mathani may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information without first requiring the posting of a bond or proof of damages.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
